The Day Count Is Not The Rule

Panama residency is 183 days AND local-source income, not 183 days alone. Two cumulative conditions decide whether the territorial zero per cent applies, and the second condition is the one the brochures skip.

01

Two Conditions, Not One

Panama is the cleanest territorial tax system in the Americas. That line is in every second brochure. The line is also incomplete. The first condition is the day count. A resident is a person physically present in Panama for more than 183 days during the calendar year. PwC Tax Summaries, reviewed 04 August 2026, set the number at 183. STEP and the IFC Review, published 04 June 2026, confirm the same number. The EU Council listing of 17 February 2026 does not change it. The second condition is the one the brochures skip. The 183 days only counts if the person is also generating income from a Panamanian source during the same year. The DGI publishes the test as a cumulative one. Physical presence AND local-source income, not physical presence alone. Pure tourism days do not create residency. A visa holder who spends 200 days in Panama but earns every dollar from a non-Panamanian client does not pass the second test. The territorial zero per cent applies to foreign-source income. The local progressive rates apply to local-source income. The two ledgers are separate, and the second test decides which one you are on. The day count opens the door. The income closes the loop.

02

What The Territorial Zero Actually Covers

Foreign-source income is fully exempt in Panama. Foreign salaries paid by a non-Panamanian employer are zero-rated. Foreign dividends from a non-Panamanian company are zero-rated. Foreign interest, foreign capital gains, foreign business profits, foreign rental income - all zero-rated, even when remitted to a Panamanian bank account. The published scope, per PwC 04 August 2026, covers employment income, dividends, interest, capital gains and business profits from a foreign source. There is no wealth tax. There is no inheritance tax. There is no gift tax. There is no municipal income tax. The local rates - 0 per cent up to USD 11,000, 15 per cent from USD 11,000 to USD 50,000, 25 per cent above USD 50,000 - apply only to Panamanian-source income. The ITBMS, Panama value-added tax, sits at 7 per cent for most goods and services, 10 per cent for alcohol, hotels and petroleum, 15 per cent for tobacco. The widely-reported VAT hike to 10 per cent did not materialise in 2026. TaxDo, cifraHQ and TaxAtlas all confirm the rate held at 7 per cent standard through the August 2026 cut-off. The territorial zero is real for foreign income. The local rates are real for local income. The two ledgers decide which side of the ledger a person lives on.

03

The Friendly Nations Visa

The Friendly Nations Visa, Executive Decree 197 of 7 May 2021 plus Executive Decree 226 of 20 July 2021, is the main route. About fifty jurisdictions qualify - the United States, Canada, the United Kingdom, the European Union member states, and the rest of the published list. the global residency advisory, Esquiyas Law and Stamped Nomad all carried the published eligibility set through 2026. Three qualifying routes, of which the applicant meets exactly one. The employment route is a valid contract with a Panamanian company plus a work permit from MITRADEL, the labour ministry, with no investment requirement. The real estate route is USD 200,000 of registered property, financing permitted, with pre-construction not qualifying until titled. The bank deposit route is USD 200,000 in a fixed-term deposit at a General Licence bank, locked for three years, with the interest usable and the principal blocked. The structure is 2-year provisional residency then permanent residency, with citizenship available after five years of permanent residency. There is no annual minimum stay, but the holder must enter Panama at least once every two years. Published fees run from USD 4,500 to USD 9,700, non-refundable and exclusive of the investment itself. Published approval time is four to six months. Dependents - spouse, children under 25, dependent parents - are included. The visa decides who can stay. The income decides what gets taxed.

04

The Pensionado Visa

The Pensionado, or Retiree, Visa is the income route without an investment. A lifetime pension of at least USD 1,000 per month, or USD 750 per month if the applicant owns USD 100,000 of Panamanian real estate, qualifies. Each dependent adds USD 250 to the monthly requirement. Approval runs 30 to 90 days. The visa confers immediate permanent residency. Retiree discounts run from 15 to 50 per cent on a published list of services - utilities, transport, medical, entertainment. The two-year entry rule still applies: the holder must enter Panama at least once every two years to keep the residency current. The Pensionado is the published answer for retirees with a defined-benefit pension and no appetite for the USD 200,000 of the Friendly Nations route. The Pensionado is also the published answer for the applicant whose foreign-source pension will not be touched by the local progressive rates, because the territorial zero covers foreign-source income. The Pensionado sits inside the territorial regime. The territorial regime sits on top of the day count. The day count sits on top of the income test. Three layers, each one conditional.

The 183 days is the door. Local income generation is the wall behind the door.

05

The 2026 Economic Substance Decree

The economic substance decree, enacted in June 2026 and effective from fiscal year 2027, is the published 2026 reform. The decree taxes Panamanian entities that are part of a multinational group and receive covered passive income from abroad - dividends, interest, royalties, capital gains, rents - at 15 per cent corporate income tax. The carve-out applies when the entity meets substance indicators: resident employees, office or infrastructure, real operating expenses, board meetings and strategic decisions held in Panama. There is no minimum revenue threshold and no minimum asset threshold. Regulated financial institutions - banks, broker-dealers, insurers - are excluded. Entities that are not part of a multinational group are excluded. STEP carried the rule via the IFC Review of 04 June 2026. Baker McKenzie analysis published the same month confirmed the 15 per cent rate and the substance-indicator framework. The decree does not touch the individual on the Friendly Nations visa. It does not touch the individual on the Pensionado visa. It hits the sociedad anonima holding structure inside an MNE group, and it hits the private interest foundation sitting between a foreign parent and a Panamanian asset. The probability that an unrelated foreign resident on a Friendly Nations visa is affected by the decree is not zero, and the probability that an MNE group with a Panamanian holding company is affected is one.

06

The EU Blacklist

Panama has been on the EU list of non-cooperative jurisdictions for tax purposes since 2020. The Council of the EU confirmed the listing on 17 February 2026. KPMG EU ETF 574 update carried the same status. Panama Finance Minister Felipe Chapman told Bloomberg Tax on 03 June 2026 that the government was targeting removal at the October 2026 EU review, via a beneficial-owner registry overhaul. The consequence is defensive measures. EU member states apply withholding tax, increased documentation requirements and substance checks to Panama structures. EU banks treat Panamanian entities with enhanced scrutiny. CRS and FATCA reporting is fully operational - no bank secrecy, mandatory UBO disclosure for passive NFE accounts, the DGI automated FATCA and CRS portal live since late 2025. The blacklist is the published reputational and operational drag. The blacklist is not a tax rate. The blacklist is a list of countermeasures that EU counterparties apply, and the countermeasures fall on the entity side of the ledger. The individual on a Friendly Nations visa with a personal bank account in Panama is not on the blacklist target list. The corporate holding inside an MNE group is.

07

The Practical Fit

Panama runs on the US dollar. The Balboa is pegged to the dollar at par, with no separate currency in circulation. There is no exchange-rate risk for dollar-denominated income. The international banking sector is large, with published correspondent relationships covering North America, Europe and Asia. Panama City cost of living sits in the middle of the regional band - higher than Mexico City, lower than Miami, comparable to Lisbon for housing at the upper end. The Colon Free Zone is irrelevant for individuals. Property tax exists on Panamanian real estate at a modest progressive rate. Capital gains on Panamanian real estate are taxed. Foreign assets have no Panamanian capital gains tax. The published fit is the remote worker or consultant with foreign clients, the investor with foreign portfolios, the retiree with a defined-benefit pension from a foreign employer. All three match the territorial regime design intent: foreign income in, local spending out, no tax on the inbound ledger. The published unfit is the MNE holding company without local substance - the 2027 decree will reach it from next fiscal year.

What I Would Read First

Three published documents, in this order. PwC Tax Summaries for Panama, reviewed 04 August 2026, is the canonical reference for the residency test, the territorial concept and the local progressive rates. STEP and the IFC Review, published 04 June 2026, carried the economic substance decree through the international press. Baker McKenzie analysis, published the same month, gave the 15 per cent rate and the substance-indicator framework in detail. The EU Council listing decision of 17 February 2026, with KPMG EU ETF 574 update, sets the published blacklist status. Bloomberg Tax 03 June 2026 interview with Finance Minister Chapman is the published source on the October 2026 removal target. the global residency advisory, Esquiyas Law and Stamped Nomad carried the Friendly Nations and Pensionado routes through 2026. I have built holding structures across six jurisdictions and watched a industrial group restructure through a corporate reorg. The pattern is the same every time. The day count is the door. The income test is the wall behind the door. The visa decides who can stand at the door. The 2027 decree decides who can stand behind it. The probability that the door is the only thing that matters is not zero, and most people are pricing the wall at zero.
